Guild.ai ACCEPTABLE USE POLICY

This Acceptable Use Policy ("AUP") sets forth the rules regarding how you may use the Services and Website provided by Guild.ai, Inc.  By accessing or using the Services, you agree to comply with this AUP.  Capitalized terms used but not defined herein have the meanings set forth in our Customer Terms of Service. 1​. Restrictions and Acceptable Use. Except to the extent a restriction is prohibited by applicable law, or as otherwise agreed between you and us in writing, you may not, and may not authorize, permit, or encourage any third party or User to:

(a) Interfere with or disrupt the integrity or performance of the Services or any User’s use of the Services;(b) Attempt to gain unauthorized access to systems or data
(c) reverse engineer, decompile, disassemble, or otherwise attempt to discern the source code or interface protocols of the Services, or the underlying ideas, file formats, algorithms or trade secrets therein;
(d) manufacture, modify, adapt, copy, create derivative works of, localize, port, or translate the Services or any part of our intellectual property;
(e) encumber, resell, distribute, transfer, rent, lease, time-share or sublicense the Services or any part of our intellectual property;

(f) Access or use the Services to develop or improve competing products or services;

(g) Access or use the Services to collect any market research for the purpose of competing with Guild.ai or providing such market research to a competing business, or otherwise to our detriment or disadvantage; 

(h) Use any robot, spider, scraper or other automated means to access the Services for any purpose (except that public search engines may use spiders to create searchable indices of public materials, only as specified in the robots.txt file);

(i) Introduce, post, or upload to the Services any malicious code, computer virus or any other similar harmful, malicious or hidden programs or data;

(j) Generate or distribute content that is abusive, harmful, or violates applicable laws, or may otherwise be objectionable to us or any other third party;

(k) Use the Services in a manner that could damage, disable, overburden or impair the Services;

(l) Circumvent security measures or access controls;

(m) Collect or harvest any personal information from the Services;

(n) Use the Services to transmit spam or other unsolicited email (and we may immediately remove any content that we believe to be spam) or use the Services for commercial solicitation;

(o) Refer to us or to the Services in a manner that could imply a relationship that involves endorsement, affiliation, or sponsorship between you (or a third party) and us without our consent;

(p) Use the Services if you are or are working on behalf of a Specially Designated National (SDN) or a person subject to similar blocking or denied party prohibitions administered by a U.S. government agency;

(q) Integrate any Third-Party Services, including any “BYOI,” in a manner that violates a third-party provider’s terms and conditions (and you represent and warrant that you are in compliance with the same); 

(r) Use the Services for the automation of critical decisions in sensitive areas without human review, including but not limited to, law enforcement, national security, medical, legal, insurance, and financial activities;

(s) Use the Services for any unlawful, harmful, or fraudulent purpose;

(t) Without limiting the generality of subsection (s), use the Services in violation of export control or sanctions laws of the United States or any other applicable jurisdiction;

(u) Without limiting the generality of subsection (s), use the Services for any activities that may lead to death, personal injury, or damage to public critical infrastructure; or

(v) Without limiting the generality of subsection (s), use the Services in a manner that compromises or violates the legal rights of any person, including: (i) conducting unlawful monitoring, tracking, or surveillance of individuals; (ii) distributing digital replicas in violation of applicable law; (iii) impersonating an individual without their consent or misrepresenting your identity or affiliation with an individual; or (iv) falsely implying an endorsement by us or any other person.

2. Our Monitoring and Enforcement. We reserve the right, but do not assume the obligation, to investigate any violation of this AUP or misuse of the Services. We may:

  • Investigate violations of this AUP or misuse of the Services; or
  • Remove, disable access to, or modify any content or resource that violates this AUP or any other agreement we have with you for use of the Services.

We may report any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Our reporting may include disclosing appropriate customer information. We also may cooperate with appropriate law enforcement agencies, regulators, or other appropriate third parties to help with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations of this AUP.

3. Reporting of Violations of this AUP. If you become aware of any violation of this AUP, you agree to promptly notify us and provide us with assistance, as requested, to stop or remedy the violation. To report any violation of this AUP, please contact us at support@guild.ai.

4. Changes to this AUP. We may from time to time amend this AUP to further detail or describe reasonable restrictions on your use of the Services by posting a revised version of this AUP on our websites, and the revised AUP will become effective on the date of such posting. Your continued use of the Services after the effective date of any revisions constitutes your acceptance of the revised AUP.
